1. Your agreement with us
Retailist is provided by Fynlink, LLC, 651 N Broad St, Middletown, Delaware 19709, United States. By downloading, accessing, or using Retailist, you agree to these Terms and our Privacy Policy. If you use Retailist for a business, you confirm that you can accept these Terms for that business.
You must be legally able to enter this agreement. Retailist is a business product and is not directed to children.
2. Free and paid plans
The Free plan can be used without an account. Paid plans require an account and may include cloud services, team access, support, or other features described on the Pricing page.
You are responsible for accurate account details, protecting your sign in credentials, and activity performed through your account. Tell us promptly if you believe an account has been compromised.
3. Your license to use Retailist
We give you a limited, revocable, nonexclusive license to install and use the Retailist desktop app for your own lawful business operations, subject to these Terms and the limits of your plan.
You may not sell or sublicense the app, bypass plan or security controls, use it to damage a system, reverse engineer it except where law expressly permits, or use our name and marks in a way that suggests an endorsement or partnership we did not approve.
4. Your store data and content
You keep ownership of product information, images, orders, customer information, and other content you enter or import. You give us only the rights needed to provide a service you choose, such as syncing a Retailist Store, processing an AI request, or storing an encrypted backup.
You are responsible for the accuracy and lawfulness of your content, your customer notices and permissions, and the backups needed for your business. Keep recovery keys safe. We cannot restore an encrypted backup if the required key is lost.
5. Connected services and AI
Retailist can work with services operated by others, including Shopify, WooCommerce, social networks, AI providers, payment services, and storage providers. Your use of those services is governed by their terms. We are not responsible for changes, outages, or decisions made by a service we do not control.
AI output can be incomplete, inaccurate, or unsuitable for your store. Review product descriptions, images, pricing, labels, and other output before publishing or relying on it. You remain responsible for the final result.
6. Responsible use
You must not use Retailist to break the law, violate another person’s rights, distribute malware, interfere with a service, gain unauthorized access, send unlawful messages, or sell goods and services that are prohibited where you operate.
If you run Retailist Store or publish through a connected channel, you are the merchant responsible for your products, pricing, taxes, returns, customer service, accessibility, and compliance with laws that apply to your store.
7. Charges, renewals, and taxes
Prices, billing periods, and included features are shown when you choose a plan. Unless the order says otherwise, subscriptions renew for the same period until canceled. You authorize the payment provider to charge the applicable amount and taxes.
You can cancel a paid plan before its next renewal. Access to paid features continues until the end of the paid period unless law or the order terms require otherwise. Refund rights required by local law still apply.
8. Updates and availability
We may improve, add, remove, or change features and plan limits. We will not intentionally remove a paid core feature during a current billing period without a reasonable substitute, notice, or remedy where required by law.
Desktop features that do not need an outside service may continue to work locally, but no software or online service can be guaranteed to be uninterrupted or error free. Install updates from the official Downloads page and verify the published checksum when appropriate.
9. Warranties and liability
To the fullest extent permitted by law, Retailist is provided as available without warranties that are not expressly stated in these Terms. We do not guarantee that every integration, AI result, or outside service will always be available or correct.
To the fullest extent permitted by law, Fynlink, LLC will not be liable for indirect, incidental, special, exemplary, or consequential loss, or for lost profits, revenue, goodwill, or data. Our total liability arising from a paid service will not exceed the amount you paid for that service during the twelve months before the event giving rise to the claim. These limits do not apply where the law does not allow them.
10. Suspension and ending the agreement
You may stop using the Free plan at any time and may cancel a paid plan through the account tools provided. We may suspend or end access when reasonably needed to prevent harm, comply with law, respond to nonpayment, or address a serious or repeated breach of these Terms.
Terms concerning ownership, payment obligations, warranty limits, liability, and disputes continue after the agreement ends where their nature requires it. These Terms are governed by applicable United States law and Delaware law where state law applies, while preserving any consumer rights that cannot legally be waived.
11. Changes and contact
We may update these Terms. The effective date will change, and we will provide reasonable notice when a material update affects an active paid account. Continuing to use the service after the updated Terms take effect means you accept them.
